Legal Counsel- Corporate and Commercial

 

Job duties will include: Support to the business teams in the drafting and negotiation of commercial contracts on a broad range of matters including store support vendor and service agreements, merchandising contracts, non-disclosure agreements, software license agreements, equipment leases, and independent contractor agreements.  This position will also be responsible for providing support in strategic corporate transactions including acquisitions and divestitures, registration and maintenance of intellectual property matters (primarily trademarks) and performing corporate secretarial work, including the preparation of SEC filings.  The successful candidate will also be assigned special projects on an “as needed” basis to provide general commercial legal support to the Company in matters beyond the counsel’s designated areas of responsibility. The position will report to the Senior Vice President and General Counsel. 

 

Requirements:  The ideal candidate will have 5-7 years of experience at a top law firm or in-house legal department at a public company.  Significant general corporate experience is required, including expertise in contract drafting and negotiation, corporate governance, intellectual property (primarily trademarks), finance, securities filings and transactional work.   Excellent written and verbal communication skills and the ability to relate to a diverse client base are a must.   Candidates must also be able to demonstrate an ability to identify and analyze legal issues and develop and effectively communicate sound, understandable legal and business recommendations to the appropriate business managers.  This is a high profile position in a small legal department so it is imperative that candidates are able to work independently with minimal supervision. Candidates must have a strong work ethic, a “hands on” mentality and the ability to work in an extremely fast paced environment. Candidates should be creative and business savvy.
